Terms of use

1. Purpose and scope

These General Terms of Use (the “Terms”) govern access to and use of the Cartflox platform, published by Aurabana, a company established in Abidjan, Côte d'Ivoire.

By creating an account or using the Cartflox services, you accept these Terms in full and without reservation. If you do not accept these terms, you must stop using the platform.

Cartflox is a payment orchestration software provider. Cartflox is neither a payment institution, nor an electronic money institution, nor a credit institution, and claims no licence as such. Payment operations are executed by licensed aggregators and providers: PayDunya, CinetPay, PawaPay, FeexPay, Hub2, Stripe, Wave, PayTech and the other gateways in the catalogue.

Cartflox is not a party to the contract between the merchant and their customer. The merchant remains solely responsible for the products and services they sell, for delivery, invoicing, refunds, tax obligations and compliance with the regulations applicable to their business.

2. Description of the services

Cartflox is a payment infrastructure that enables businesses (merchants) to:

• Accept payments via Mobile Money (Orange Money, Wave, MTN MoMo, Airtel Money, Moov Money, etc.)
• Accept bank card payments (Visa, Mastercard)
• Manage and reconcile their transactions in real time
• Configure smart payment routing rules
• Access advanced analytics dashboards
• Use the Cartflox API to integrate payments into their applications

The services are accessible through the web dashboard and the documented REST API.

3. Registration and merchant account

To access the Cartflox services, you must:

• Be a legally incorporated legal entity or an independent professional
• Provide accurate and complete information at registration (KYC)
• Keep your information up to date
• Be at least 18 years old if you are an individual

Cartflox reserves the right to refuse or suspend any account that does not meet these conditions or that presents a risk of fraud or regulatory non-compliance.

You are responsible for keeping your login credentials confidential and for all activity carried out from your account.

4. Financial terms and pricing

Use of Cartflox is subject to the pricing terms in force, available on our pricing page.

“Your own keys” plan: Cartflox takes no commission on your payments. Transaction fees are the ones charged by your aggregators (PayDunya, CinetPay, PawaPay, Stripe...), under the contracts you have entered into with them.

Your payments are then collected directly into your aggregator accounts, using your own API keys: Cartflox does not hold, keep or pay out any funds, and the timing under which your money is made available is that of your aggregators.

“Cartflox Connect” plan: the merchant mandates Cartflox to collect, in their name and on their behalf, the sums owed by their customers, through the accounts Cartflox holds with licensed aggregators. Collected sums belong to the merchant from the moment they are collected. They are not deposits, bear no interest, and are recorded in a balance identified separately for each merchant.

Cartflox takes a 5% commission on each successful payment collected under this plan. The balance is paid out on the merchant's request, with no minimum amount, to the Mobile Money account of the verified workspace holder, within 24 to 48 business hours. The merchant may request the payout of their entire balance at any time.

Cartflox may suspend a payout, withhold all or part of a balance or close a workspace in the event of suspected fraud, a dispute with a customer, a claim from an aggregator, a request from a competent authority, or for as long as the merchant's identity verification is incomplete. The merchant is informed and given the reason.

Should the Cartflox Connect service stop, for any reason, the balances held remain owed to the merchants and are paid out to them under the terms above.

Cartflox reserves the right to change its pricing with 30 days' notice given by email.

5. Merchant obligations

As a merchant, you undertake to:

• Use Cartflox only for lawful commercial activities
• Not process payments linked to prohibited activities (list available on request)
• Comply with the regulations applicable in your country of operation
• Clearly display your own terms of sale to your customers
• Keep your refund/dispute rate within acceptable limits
• Cooperate with Cartflox in any investigation into suspicious transactions
• Not attempt to circumvent the platform's security mechanisms

6. Prohibited activities

It is strictly prohibited to use Cartflox for:

• Money laundering or terrorist financing
• Sale of illicit substances or illegal content
• Unlicensed gambling
• Scams, phishing or any form of fraud
• Counterfeit goods or services
• Sale of weapons and ammunition
• Any activity that breaches applicable law

Breaching these prohibitions results in immediate termination of the account and may lead to legal proceedings.

7. Suspension and termination

Cartflox may suspend or terminate your account in the following cases:

• Breach of these Terms
• Fraudulent or unlawful activity detected
• Abnormally high dispute rate
• Non-payment of amounts due
• Request from a competent authority

Upon termination, your aggregator keys are deleted from our systems. Your funds, which never passed through Cartflox, remain in your aggregator accounts.

You can close your account at any time from your dashboard settings.

8. Limitation of liability

Cartflox cannot be held liable for:

• Service interruptions caused by force majeure events
• Failures of telecommunications operators or third-party payment networks
• Indirect losses, loss of profit or intangible damage
• Mobile money numbers entered incorrectly by the payer

Our liability is limited to the amount of fees paid by the merchant during the 3 months preceding the incident.

Cartflox commits to 99.9% service availability (SLA), with compensation in the event of a shortfall under the terms set out in our service level agreement.

9. Intellectual property

All elements of the Cartflox platform (logo, interface, source code, API, documentation) are protected by intellectual property rights and belong exclusively to Aurabana.

Any unauthorised reproduction, modification or exploitation is strictly prohibited.

Using our API through an access key grants you a limited, non-exclusive and non-transferable licence, solely for integration into your own application.

10. Governing law and jurisdiction

These Terms are governed by the laws of Côte d'Ivoire.

In the event of a dispute, the parties undertake to seek an amicable solution within 30 days. Failing that, the dispute will be submitted to the exclusive jurisdiction of the courts of Abidjan, Côte d'Ivoire.

11. Changes to these Terms

Cartflox reserves the right to change these Terms at any time. Changes take effect 30 days after notification by email.

If you continue to use the services after the new Terms take effect, you are deemed to have accepted them.
